CleanSpark Bets $2.2B on a Bitcoin Mine Called Sandersville — Investors Seem to Like the Receipts
CleanSpark announced a proposed $2.227 billion private placement of senior secured notes due in 2031, with proceeds earmarked primarily for the completion of its Sandersville facility and related infrastructure. The notes will be issued by its wholly owned subsidiary CSDC Finance I and guaranteed by CSRE Properties Sandersville, another CleanSpark subsidiary, with a first-lien position on most assets tied to the property company and the issuer. The offering is subject to market and other conditions, the company said, and CleanSpark will guarantee completion of the facility if proceeds fall short.
The transaction is structured exclusively as debt and does not include an equity component, meaning the notes are not convertible into CleanSpark shares under the terms announced. A portion of the proceeds will also be used to reimburse prior equity investments and to establish debt service reserves.
Shares of CLSK traded near $13.40, up approximately 4.73% intraday on Thursday following the financing announcement. Investors weighed the senior secured structure against ongoing capital needs at the Sandersville site, where CleanSpark has been expanding its bitcoin mining footprint.
The Sandersville buildout is positioned to add to CleanSpark's hashrate capacity, with the company framing the latest raise as a step toward funding construction to completion. CleanSpark did not specify a drawdown schedule for the notes or a completion timeline for the facility in Thursday's disclosure.
The offering comes as publicly traded miners have increasingly turned to debt markets to finance grid-scale data center projects tied to bitcoin mining and adjacent compute workloads. CleanSpark's filing did not disclose pricing, coupon, or the lead arrangers, and the company stated the transaction remains conditional on market conditions at launch.
