Shaw declares $ELIZAOS "completely" dead, tells holders to sell, vows to keep coding without a token 🪦
Shaw Walters, founder of Eliza Labs and the open-source ElizaOS agent framework, declared the ELIZAOS token "dead. Completely." in an X post on Wednesday and urged holders to sell, saying the foundation is shutting down and will not pursue buybacks, further supply measures or a replacement token. Walters said he plans to keep building the underlying software without issuing a new asset.
ELIZAOS trades near $0.00031 with a market cap of about $2.3 million, down roughly 97% from its high. The token replaced AI16Z through a migration; AI16Z peaked at a $2.39 billion market cap on Jan. 2, 2025, with $291 million in daily volume that day, according to CoinGecko. CoinGecko continues to list the original AI16Z contract separately, with a market cap of around $375,000 as of early U.S. hours.
Walters attributed the shutdown to litigation. He said the foundation transferred its remaining treasury and available funds to settle with a group of holders represented by Burwick Law, and confirmed there would be no further foundation support for the token. In an X thread, Walters wrote that he had worked to the point of a frozen shoulder and severe health issues, adding: "We built cool shit but it was completely ignored because number down."
A proposed federal class action filed in April in the Southern District of New York accuses the project of misleading investors about operating as an autonomous, AI-run venture fund and of diluting holders during the AI16Z-to-ELIZAOS migration, claims that have not been resolved in court records reviewed. The lawsuit targets alleged misrepresentations made during the original AI16Z era, when the project marketed itself as an AI-managed "dao" fund backed by endorsements tied to Marc Andreessen, whose venture firm a16z has previously asked courts to distance itself from the project.
The episode caps a roughly nineteen-month arc for AI16Z, which became one of the most heavily traded AI agent–themed tokens before its collapse, rebrand and successor-token decline. Walters did not announce any new token plans, and ELIZAOS remained listed on CoinGecko on Wednesday with no indication of a delisting request.
