Saylor's Spread Turns Negative: Market Now Values Strategy Cheaper Than Its Bitcoin 🍳

Strategy (MSTR), the Michael Saylor-led bitcoin treasury company, is trading below the value of its bitcoin holdings for the first time, with enterprise multiple to net asset value (mNAV) slipping under 1. The shift removes a capital-raising advantage the firm has enjoyed for years, when investors valued the company at a premium to its underlying $BTC and Saylor used that flexibility to repeatedly issue shares and debt to fund additional purchases.

With shares declining to roughly $82, about 85% below the November 2024 all-time high, Strategy's enterprise value has fallen to approximately $50.4 billion. Bitcoin holdings, by contrast, are worth about $51.1 billion at the current $60,000 price, meaning the market is now pricing the entire enterprise below the value of the bitcoin it owns. Enterprise mNAV divides enterprise value by bitcoin reserves and is calculated as the market capitalization of all basic shares outstanding plus total debt plus total perpetual preferred stock, minus USD reserve.

Issuing new shares at these levels becomes dilutive, because the company would effectively be selling equity at a price below the value of its underlying assets. The development follows a string of recent purchases funded through equity issuance that drew criticism from parts of the community over dilution to common stockholders.

Some observers compare the situation to closed-end fund dynamics, citing vehicles such as the Grayscale Bitcoin Trust, which traded at substantial premiums to its underlying bitcoin in periods of strong demand before moving to persistent discounts as sentiment weakened. Such vehicles typically lack an effective redemption mechanism to arbitrage share prices against the value of the assets they hold. Strategy has additional capital allocation and financing options that distinguish it from a passive investment vehicle, including the capacity to refinance debt or adjust the pace of future bitcoin acquisitions.
